This mandate is entered into between you (the “Client”, identified below) and ReplySeal (the “Agency”). By signing it, you authorise the Agency to act on your behalf within the strict scope defined below, to improve your visibility in AI answer engines (ChatGPT, Gemini, Perplexity, Google AI and similar).
The Client entrusts the Agency with the ongoing management and optimisation of its digital presence (Google Business Profile, website, structured data, reviews, citations and directories) for the sole purpose of improving its visibility and recommendations by AI engines.
The Agency is authorised to: update profile and website information; publish content, pages and markup; reply to reviews in a compliant manner; submit and correct directory and aggregator listings; measure performance via the analytics tools provided. The Agency acts as Manager, never as Owner.
The Agency makes no contractual or financial commitment on the Client’s behalf, does not change asset ownership, does not delete listings, and discloses no personal data to unauthorised third parties. Any sensitive action (health, regulated professions) complies with applicable professional rules.
The Agency commits to using its best efforts to improve the Client’s visibility. As third-party algorithms are outside the Agency’s control, no specific ranking, citation or recommendation is guaranteed. This is a best-efforts obligation, not an obligation of result.
The mandate takes effect upon signature and remains valid while the subscription is active. The Client may revoke it at any time by removing the granted accesses (Google, website, analytics) and cancelling the subscription, at no cost and without notice.
Under this mandate the Agency acts as a processor within the meaning of the GDPR, the Client remaining the controller. The Agency processes data strictly for the purposes above, applies appropriate security measures, uses only sub-processors offering equivalent guarantees (hosting, AI, email), assists the Client with data-subject rights, and deletes or returns data at the end of the contract. No data is sold.
The Agency keeps the Client’s accesses, credentials and data confidential, and uses them only to perform the mandate.
This mandate is governed by French law. Any dispute falls under the competent courts of the Client’s jurisdiction, failing amicable settlement.
